A backup of the data directory that was created by ShopSite during the upgrade process. If you made your own backup you could just delete it.
Note that when you upgrade to the next version if that file is still in the data directory it will be include in the next backup. This will happen each time the store is upgraded (if the option to create the file is check) and so your backup file will expand exponentially. So at some point after you are satisfied that the upgrade is working you should remove the file or move it to a different location.
Similar files will be create in the ShopSite cgi directories (typically ss and sc)
